Terms of use

These terms of use apply to everyone who uses RNS Assist under a company account ("you"). You must accept them before you use RNS Assist. Your company's use of RNS Assist is also governed by our Terms of service, and our Privacy notice explains how we use personal data.

1. About us

1.1RNS Assist and Out of the GRND are brands of Noah Resources Ltd ("Noah Resources", "we", "us"), a company registered in England and Wales with company number 16088691, whose registered office is at 3rd Floor Ivy Mill, Crown Street, Manchester, M35 9BG. You can contact us at contact@rnsassist.com.

2. Accepting these terms

2.1By ticking the box and selecting "Accept and continue", you agree to these terms for yourself and on behalf of your company, and you confirm that your company has authorised you to use RNS Assist.

2.2We record when you accept and which version you accepted. If we change these terms, we will ask you to accept the new version before you continue.

3. Your Nominated Adviser must be consulted before anything is published

3.1Everything RNS Assist produces is a draft prepared with the help of artificial intelligence: interview questions, edited videos and clips, captions, transcripts and written copy ("Outputs").

3.2Your company's Nominated Adviser must be consulted before any Output is published, released or otherwise made public. If your company does not have a Nominated Adviser, its sponsor, broker or legal advisers must be consulted instead.

3.3RNS Assist does not replace that review, and Noah Resources does not give legal, regulatory, financial or investment advice.

4. Nothing is published without your approval

4.1Anything published from RNS Assist is subject to approval from your company. An interview is published only after one of your company's Owners or Approvers approves that exact version with the company's publication PIN.

4.2When you approve or publish an Output, you confirm that it is accurate, complete and not misleading, that the review in clause 3 has taken place, and that publishing it complies with the rules that apply to your company, including the UK Market Abuse Regulation, the AIM Rules for Companies, the UK Listing Rules and the Disclosure Guidance and Transparency Rules.

4.3Outputs must only discuss information that has already been announced through a Regulatory Information Service or otherwise made public. Do not use RNS Assist to disclose inside information for the first time.

5. Responsibility for what is published

5.1You and your company are solely responsible for every Output you approve or publish, and for any decision made in reliance on it.

5.2To the fullest extent permitted by law, you accept that Noah Resources, its directors, staff and suppliers have no responsibility or liability for any Output once it has been approved or published, or for the consequences of publishing it, and you waive any claim against Noah Resources arising from the content of an approved or published Output.

5.3Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow to be limited or excluded.

6. Your account

6.1Keep your password, your two-step sign-in device and your company's publication PIN to yourself. Do not share your login with anyone.

6.2Tell us at contact@rnsassist.com straight away if you think your account or the PIN has been misused.

6.3Use RNS Assist only for your company's legitimate business.

7. Confidential and inside information

7.1Treat drafts, unpublished interviews and other material in RNS Assist as confidential to your company.

7.2If material you upload contains inside information, your company remains responsible for its insider list and for deciding when that information is announced.

8. Acceptable use

You must not:

• access or try to access data that does not belong to your company, or probe, overload or disrupt the service;
• upload malware, or material you have no right to use;
• use RNS Assist to make false or misleading statements, to manipulate the market, or to imitate a real person without their consent;
• remove or hide the notices and labels added to Outputs.

9. Interviews

9.1Interviews are conducted by an AI presenter: a likeness and voice generated by artificial intelligence. Executives who take part must agree to be recorded, and to the use of the recording described in the Terms of service.

9.2Approved interviews are published on Out of the GRND or RNS Assist and may be shared by link. Your company may also post its own copies of approved videos, without the Out of the GRND or RNS Assist logo, on its own channels.

10. Suspension

We may suspend your access if you break these terms, or where we need to in order to protect the service, other customers or the integrity of the market.

11. Changes

We may update these terms. We will ask you to accept the new version before you next use RNS Assist.

12. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
